Terms & Conditions – Technitis LLC

Effective Date: September 18, 2025

BY ACCESSING OR USING THE TECHNITIS PLATFORM ("SERVICES"), YOU AGREE TO BE BOUND BY THESE TERMS & CONDITIONS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Eligibility

• You must be at least 18 years old or the age of majority in your jurisdiction.
• You must have the legal capacity to enter into contracts.
• You must comply with all applicable laws, including U.S. export controls and sanctions.
• Prohibited Persons: You are not a resident of any country subject to U.S. embargo (e.g., Cuba, Iran, North Korea, Syria) or on any U.S. government denied-party list.

2. Account Registration & Security

• You must provide accurate, complete, and current information during registration.
• You are solely responsible for:
  • Maintaining the confidentiality of your account credentials.
  • All activity under your account, whether authorized or not.
• Notification: You must notify us immediately of any unauthorized use or security breach.
• We reserve the right to suspend or terminate accounts for any reason, including suspected fraud or violation of these Terms.

3. Orders, Payments & Fees

• Order Acceptance: An order is confirmed only when payment is fully processed and verified.
• Payment Methods:
  • Cryptocurrency: Processed via third-party gateways (e.g., NowPayments). Technitis LLC is not liable for:
    • Blockchain delays, failed transactions, or wallet errors.
    • Volatility in cryptocurrency value.
  • Fiat (USD): Processed via Stripe. All fees are disclosed at checkout.
• Prices: In U.S. Dollars (USD) unless otherwise stated. Subject to change without notice.
• Taxes: You are responsible for all applicable sales, use, or value-added taxes.
• Non-Refundable Fees: Platform fees, processing fees, and shipping costs are non-refundable.

4. Product Availability & Order Cancellation

• Products are subject to availability. Quantities are limited.
• We reserve the right to:
  • Cancel or refuse any order at our sole discretion (e.g., fraud, pricing error, inventory issue).
  • Limit or prohibit sales to resellers, distributors, or competitors.
• Price Errors: If a product is listed at an incorrect price, we may cancel the order and refund any charges.

5. Shipping & Delivery

• Shipping Estimates: Provided for convenience only. Not guaranteed.
• Delays: We are not liable for delays due to:
  • Carrier issues, customs, weather, or force majeure.
  • Incorrect shipping address provided by you.
• Risk of Loss: Transfers to you upon delivery to the carrier.
• International Orders: You are responsible for customs duties, tariffs, and compliance with local laws.
• Local Pickup: Available where offered. You must coordinate directly with the seller. Technitis LLC is not liable for failed meetups or disputes.

6. Refunds, Returns & Dispute Resolution

Digital Goods	Non-refundable once delivered.
Physical Goods	7-day return window only if: Item is damaged, defective, or not as described. Return shipping paid by buyer. Item returned in original condition with proof of purchase.

• No Refunds for:
  • Buyer remorse, change of mind, or incorrect purchase.
  • Used, opened, or altered items (except defects).
• Dispute Process:
  1. Contact support within 48 hours of delivery.
  2. Provide photos, videos, and order details.
  3. We mediate in good faith. Final decision is ours.
• Escrow Protection: Optional at checkout. Covers up to 50% (user-to-user) or 100% (Technitis-sold).

7. User Conduct & Prohibited Activities

YOU AGREE NOT TO:

• Use the Services for illegal, fraudulent, or harmful purposes.
• Engage in money laundering, terrorist financing, or sanctions evasion.
• Post fraudulent listings, fake reviews, or misleading information.
• Interfere with site operation, security, or other users.
• Attempt unauthorized access to accounts, servers, or data.
• Use bots, scrapers, or automated tools without permission.
• Impersonate any person or entity.

VIOLATIONS MAY RESULT IN IMMEDIATE TERMINATION AND LEGAL ACTION.

8. Intellectual Property

• All content on the Services (text, logos, designs, code, UI) is owned by Technitis LLC or its licensors.
• Limited License: You are granted a non-transferable, non-exclusive license to use the Services for personal, non-commercial use.
• Prohibited: Copying, modifying, distributing, or creating derivative works without written consent.
• User Content: You grant Technitis LLC a worldwide, royalty-free, perpetual license to use, display, and moderate content you upload (listings, reviews, images).

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.

• We do not guarantee:
  • Uninterrupted, secure, or error-free operation.
  • Accuracy of product listings or user-generated content.
  • Compatibility with your device or software.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Technitis LLC shall not be liable for:
  • Indirect, incidental, consequential, special, or punitive damages.
  • Loss of profits, data, or goodwill.
  • Personal injury or property damage.
• Maximum Liability: In no event shall our total liability exceed the amount you paid us in the 12 months prior to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Technitis LLC, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Services.
• Your violation of these Terms.
• Your violation of any third-party rights.
• Any dispute with another user.

12. Dispute Resolution & Governing Law

• Governing Law: State of Texas, USA, without regard to conflict of laws.
• Venue: Exclusive jurisdiction in state or federal courts in Travis County, Texas.
• No Class Actions: You waive the right to participate in class actions.
• Arbitration (Optional): At our discretion, disputes may be resolved via binding arbitration in Austin, TX.

13. Termination

• We may suspend or terminate your access at any time, with or without cause.
• You may close your account via settings.
• Surviving Provisions: Sections 7–13 survive termination.

14. Force Majeure

We are not liable for failure to perform due to events beyond our control (war, natural disasters, pandemics, government actions, etc.).

15. Amendments

We may update these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or site banner.

16. Severability

If any provision is held invalid, the remainder remains in full effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Technitis LLC.
